経営再建中の東芝は、半導体子会社の売却を巡りアメリカのウエスタンデジタル社などでつくる日米連合と今月中に契約を結ぶ方向で詰めの協議を行っている。
関係者によると、半導体子会社「東芝メモリ」の売却額は約２兆円にのぼる見通し。このうちウエスタンデジタルが将来、普通株に転換できる１５００億円の社債を引き受ける事などを軸に月内の最終決着を目指して詰めの協議が行われている。
一方、政府系ファンドの産業革新機構と政策投資銀行が３０００億円ずつ出すほか、ゆうちょ銀行などと合わせ日本勢が議決権の過半数を確保する見通し。
東芝や経済産業省は東芝メモリの経営の主導権を日本側に残す思惑もあり、将来的にウエスタンデジタルが経営を左右できないかたちでの合意を目指している。ただ、双方が完全に折り合えるかは、まだ予断を許さない状況。
Toshiba, which is undergoing management reconstruction, is discussing closely with the Japan – US Alliance formed by Western digital companies in the United States about the sale of semiconductor subsidiaries in a direction to sign contracts this month. According to officials, the sales of semiconductor subsidiary Toshiba Memory will be about 2 trillion yen. Discussions are being held with the aim of finalizing the final settlement within the month with Western Digital taking over 150 billion yen corporate bonds that can be converted into ordinary shares in the future.
Meanwhile, the government-funded Industrial Innovation Organization and the Policy Investment Bank will issue 300 billion yen each, along with Japan Post Bank and others, Japan is expected to secure a majority of the voting rights.
Toshiba and the Ministry of Economy, Trade and Industry have an idea to leave Toshiba Memory’s management leadership on the Japanese side, aiming for agreement in the future that Western Digital can not control business. However, it is still unpredictable whether the two sides can fully collaborate.
